Users nominally own generated Assets but grant Midjourney a perpetual, irrevocable, worldwide, sublicensable license to reproduce, distribute, and create derivative works of their Content, a license that survives termination for any reason; a separate section requires outright assignment of ownership rights in community translation submissions.

The terms mandate binding arbitration through the AAA's ICDR, include an explicit jury trial waiver, and set a one-year claim limitation period; no opt-out or small claims carveout is mentioned, and while a class-action waiver is not explicitly quoted, the combination of mandatory arbitration and absence of any opt-out is an aggravating factor.
